一般の文とは異なる意味で使用される契約書の助動詞(shall、may、will、shouldなど)

こんにちは。高橋翻訳事務所(http://goo.gl/25cZv)契約書・法律文書翻訳担当の佐々木と申します。今回は英文契約書の助動詞について取り上げていきます。

英文契約書で使用される代表的な助動詞にはshallやmay、will、shouldなどがありますが、通常とは意味が異なるケースが多いため、慣れることが必要になってきます。

【shall】
まずはshallですが、契約書では主に「法的な義務」や「強制」を意味し、「〜するものとする」や「〜しなければならない」、「〜する」と訳します。通常の英文で「義務」を表す場合にはmustがまず頭に浮かぶと思いますが、契約書ではshallが用いられます。また、否定形のshall notは「〜してはならない」と訳し、禁止を意味します。

Article 11. Title
The absolute title to Specifications, Schedule, any and all Raw Materials and samples thereof, Products and samples thereof, semi-finished goods which are produced with the Raw Materials, shall remain the sole property of ABC at all times. XYZ shall keep them always with sufficient care of a good custodian and upon request by ABC, shall affix a note or warning regarding ownership and the intellectual property rights in the manner designated by ABC.

第11条 所有権
仕様書、計画表、原材料およびその見本、本件製品およびその見本、原材料によって製造された半完成品、ならびに原材料の細片および屑の所有権は、いかなる場合もABCに帰属する。XYZは、それらを善良な管理者の十分な注意をもって保管しなければならず、ABCが要求する場合には、XYZはABCの指定する方法による所有権等の表示をするものとする。 (出典:日本商事仲裁協会)

【may】
次に、通常の文では「〜してもよい」や「〜かもしれない」などと訳されるmayですが、契約書では「〜できる」となり、契約上の権利を表します。類似する表現としては、「have the right to〜」や「be entitled to〜」があります。その他にも、「〜の場合がある」といった使われ方もありますので、文章全体を見て判断しなければなりません。否定形のmay notは、「〜できない」や「〜する権利がない」と訳します。

Article 11. Treatment of Confidential Information
Notwithstanding the foregoing paragraph, the Receiving Party may disseminate, in whole or in part, the information mentioned above to a limited number of officers and employees of the Receiving Party or its sub-contractors or its distributors, on a need-to-know basis. The Receiving Party shall take all reasonable precautions to ensure that such officers, employees, sub-contractors and distributors shall comply with the obligations under this Article.

第11条 秘密情報の取扱
前項に拘わらず、受領当事者は、その情報の全部または一部を、「知る必要がある」限りにおいて、受領当事者の限られた人数の役員、従業員、その下請業者または販売代理店に伝達することができる。受領当事者は、かかる機密情報を伝達される役員、従業員、下請業者および販売代理店が本条に定める義務に従うことを確保するため、あらゆる合理的な予防措置をとるものとする。

【will】
「未来」や「推量」を表すwillです。英文契約書ではshallと同じく「義務」を表しますが、一般的には「shall」よりも強制力が弱くなります。よく見られるケースとしては、上の立場の人が契約書を作成する場合に相手の義務をshall、自分の義務をwillとします。もし、相手側が作成した契約書の中にshallとwillが混在している場合には、意味を確認する必要があるでしょう。

Article 19. Settlement of Disputes
In the event that such amicable solution has not been reached through negotiation, the dispute shall be settled by arbitration under the relevant arbitration rules. The dispute shall be submitted for arbitration to be held in Beijing, China under the rules of the China International Economic and Trade Arbitration Commission if X will be the defendants, or in Tokyo, Japan under the rules of the Japan Commercial Arbitration Association if Y will be the defendants. The award of such arbitration shall be final and binding upon all the parties concerned.

第19条 紛争解決
協議により解決できなかった場合は、関係仲裁機関に対し仲裁を申し立てるものとする。甲が被申立人の場合は、中国の北京市にある中国国際経済貿易仲裁委員会において、当該委員会の仲裁規則に基づき仲裁を行うものとする。乙が被申立人の場合は、日本国東京都にある社団法人日本商事仲裁協会において、当該協会の仲裁規則に基づき、仲裁を行うものとする。仲裁判断は最終的なものであり、全ての仲裁の当事者に対して拘束力を有する。

【should】
一般的な文では主に「〜すべき」と訳されるshouldですが、契約書では当事者の「提案」や「要求」を表す際に用いられます。和訳は「〜しなければならない」となりますが、法的な強制力はないため、相手側が実行しなくても債務不履行とはなりません。

Article 13. Term and Termination
(Default) In case there is a default by either party of any provision of this Agreement during the life of this Agreement, the parties hereto shall first of all try to settle any matter arising from such default as soon and amicably as possible to mutual satisfaction. Unless settlement should be reached within thirty (30) days after notification in writing of the other party, such other party has the right to terminate this Agreement and the loss and damage sustained thereby shall be indemnified by the party responsible for such default.

第13条 期間および終了
(債務不履行) 本契約の期間中、いずれかの当事者による本契約の規定の不履行がある場合、両当事者は、まず、できる限り早急におよび友好的に、かかる不履行から発生する問題を解決するよう努めるものとする。一方の当事者の書面による通知後30日以内に解決に達しない場合、かかる一方の当事者は本契約を解除する権利を有し、それにより受ける損失および損害は、かかる不履行につき責任のある当事者により補償されるものとする。

以上、契約書で主に使用される助動詞を紹介しましたが、その他にもmustやcanが出てくるケースもあります。契約書でのmustは「要件」を表し、「be required to〜」と同じ意味を有しています。一方、canは契約書で使われることはほぼなく、代わりにmayが用いられますので、契約書を作成する際には注意が必要でしょう。
